1. About FundGate

FundGate is an independent developer platform that provides APIs and tools to simplify UPI payment integration.

FundGate is not a bank, financial institution, payment aggregator, wallet, or payment processor.

Payments are facilitated through the user's connected Paytm Merchant Account, and funds are settled directly into that merchant account.

FundGate does not intentionally receive, hold, or manage customer funds.

2. Eligibility

To use FundGate, you must:

• Be legally allowed to enter into a binding agreement.
• Provide accurate account information.
• Use the platform only for lawful purposes.
• Comply with applicable laws and regulations.

3. Account Responsibilities

You are responsible for:

• Keeping your login credentials secure.
• Protecting your API Keys.
• Maintaining accurate account information.
• All activities performed using your account.

If you suspect unauthorized access, notify us immediately.

4. Merchant Account

To use FundGate's payment features, you must have a valid Paytm Merchant Account.

You are responsible for:

• Maintaining your merchant account.
• Following Paytm's terms and policies.
• Ensuring your Merchant ID (MID) and UPI ID are accurate.

FundGate is not responsible for:

• Merchant account approval or rejection.
• Merchant account suspension.
• Payment failures caused by Paytm or other third-party services.

5. API Usage

FundGate provides APIs including but not limited to:

• Create Order API
• Verify Payment API

API Keys are confidential and must not be shared publicly.

We may suspend or revoke API access if misuse, abuse, or suspicious activity is detected.

6. Subscription & Billing

FundGate operates on a monthly subscription model.

Subscription fees provide access to FundGate's software platform and APIs.

Unless otherwise stated:

• Subscription fees are billed in advance.
• Fees are non-refundable after the subscription has started, except where required by applicable law.
• Trial plans are subject to their stated limits and may be modified or discontinued.

7. Acceptable Use

You agree not to use FundGate for:

• Fraudulent activities.
• Money laundering.
• Illegal gambling.
• Selling prohibited or unlawful goods or services.
• Phishing or scams.
• Unauthorized financial activities.
• Violating applicable laws or regulations.
• Circumventing third-party terms of service.

Violation of these Terms may result in immediate suspension or permanent termination of your account.

8. Availability

We strive to provide reliable service.

However, FundGate does not guarantee uninterrupted availability.

Maintenance, technical issues, internet outages, third-party failures, or force majeure events may temporarily affect the service.

9. Third-Party Services

FundGate relies on third-party services including payment infrastructure providers and hosting providers.

We are not responsible for:

• Third-party downtime.
• API changes.
• Service interruptions.
• Policy changes made by third parties.

10. Intellectual Property

FundGate, its software, branding, documentation, website, and APIs are protected by applicable intellectual property laws.

You may not:

• Copy or resell the platform without permission.
• Reverse engineer proprietary components where prohibited by law.
• Remove copyright or branding notices.

11. Limitation of Liability

To the maximum extent permitted by law, FundGate and its creator shall not be liable for:

• Business losses.
• Lost profits.
• Loss of data.
• Indirect or consequential damages.
• Payment failures caused by third-party providers.
• Merchant account restrictions or suspension.
• Service interruptions beyond our reasonable control.

Your use of FundGate is at your own risk.

12. Indemnification

You agree to indemnify and hold harmless FundGate, its creator, and contributors from claims, liabilities, damages, losses, or expenses arising from:

• Your misuse of the platform.
• Your violation of these Terms.
• Your violation of applicable laws.
• Your infringement of third-party rights.

13. Account Suspension

We reserve the right to suspend or terminate accounts that:

• Engage in fraudulent or illegal activity.
• Abuse the platform or APIs.
• Attempt to compromise platform security.
• Violate these Terms.

Suspension may occur without prior notice where reasonably necessary to protect the platform or other users.

Your use of FundGate is also governed by our Privacy Policy.
